HOPE For Everybody, LLC aGreatWoman.com — Affiliate Program Agreement This Affiliate Agreement (the "Agreement") is entered into by and between HOPE For Everybody, LLC ("Company," "we," "us," or "our"), the operator of aGreatWoman.com, and the undersigned individual or entity ("Affiliate," "you," or "your"). By submitting this application and checking the agreement box, you confirm that you have read, understood, and agree to be bound by all of the terms below. 1. PROGRAM AND ENROLLMENT The Company operates aGreatWoman.com, an online platform that allows loved ones to build living tributes to the special women in their lives. The Company maintains an Affiliate Program that allows participating Affiliates to earn commissions by referring new paying customers to the Company. Enrollment in the Program is subject to the Company's review and approval. Applications remain pending until approved by the Company in its sole discretion. The Company may decline any application for any reason. 2. AFFILIATE LINK AND COUPON CODE Upon approval, the Affiliate will receive a unique affiliate link (the "Affiliate Link") using the desired link requested on the sign-up form, provided it is available and not already in use. The Company will also generate a unique coupon code for the Affiliate. The coupon code offers the referred customer their third (3rd) month of service free. Commissions are NOT paid on free months. The Affiliate agrees to promote their Affiliate Link and coupon code only through lawful, ethical channels and shall not engage in spam, unsolicited email, false advertising, or any practice that could harm the Company's reputation. 3. COMMISSIONS The Company agrees to pay the Affiliate a commission of $2.50 (two dollars and fifty cents) per month for each new paying customer referred by the Affiliate, for as long as the referred customer remains a paying subscriber of the Company. Commissions are earned as revenue is received and posted by the referred end user. Commissions are not earned or paid on any free months, including the third free month offered through the Affiliate's coupon code. 4. PAYMENT TERMS AND THRESHOLD No commissions shall be paid to the Affiliate until the Affiliate has earned at least $100.00 (one hundred dollars) in cumulative commissions. Commissions are earned as paid by the end user and are paid by the 1st (first) day of each calendar month for the preceding calendar month's posted revenues. For example, commissions earned during April will be paid on or before May 1st. The Company will issue payment according to the payment method selected by the Affiliate on the sign-up form (physical check or Zelle). 5. W-9 REQUIREMENT Prior to receiving any payment, the Affiliate must complete a Form W-9 (Request for Taxpayer Identification Number and Certification) and email the completed form to hello@hopeforeverybody.org. The Company will not process any payment until a valid, completed Form W-9 is on file. A downloadable, editable W-9 is available on the sign-up page and from the IRS. 6. TERM AND TERMINATION This Agreement remains in effect until terminated by either party with written notice. The Company may suspend or terminate the Affiliate's participation in the Program at any time for violation of these terms, fraudulent activity, or conduct harmful to the Company. Upon termination, commissions already earned and not yet paid remain payable, but no further commissions shall accrue after the effective date of termination. 7. INDEPENDENT CONTRACTOR The Affiliate is an independent contractor and not an employee, partner, agent, or joint venturer of the Company. The Affiliate is responsible for their own federal, state, and local taxes, including any self-employment taxes arising from commissions earned. Nothing in this Agreement creates an employer-employee relationship. 8. RELATIONSHIP OF THE PARTIES The Affiliate has no authority to bind the Company to any contract, representation, or obligation. The Affiliate shall not represent themselves as an employee or representative of the Company except to accurately describe participation in the Affiliate Program. 9. MODIFICATIONS The Company reserves the right to modify this Agreement, the commission rate, the coupon offer, or the Program terms at any time, with reasonable notice to active Affiliates. Continued participation after any modification constitutes acceptance of the revised terms. 10. ASSIGNMENT The Affiliate may not assign or transfer this Agreement or any rights hereunder without the prior written consent of the Company. 11. GOVERNING LAW AND DISPUTE RESOLUTION This Agreement is governed by the laws of the state in which HOPE For Everybody, LLC is organized, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for any dispute arising out of or relating to this Agreement. 12. ENTIRE AGREEMENT This Agreement, together with any policies referenced herein, constitutes the entire agreement between the parties concerning the Affiliate Program and supersedes all prior or contemporaneous agreements, communications, and understandings, whether oral or written. BY CHECKING THE BOX BELOW AND SUBMITTING THIS APPLICATION, THE AFFILIATE ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO ALL OF THE TERMS OF THIS AGREEMENT.
